Terms of Service
These terms form the legal agreement between you and VectorPitch when you sign up and use the platform. They cover what you can do, what we're responsible for, and how either side can end the relationship — written to be read, not just signed.

Clause
Provision
Section 1 — Agreement
Using the Service in any way — signing up, uploading footage, starting a trial — means you accept these terms. If you're signing up for a club or academy, you're confirming you have authority to bind it. You must be 18 or over. We keep a record of what you agreed to and when.
1.1
These Terms of Service Agreement, together with the documents incorporated by reference under clause 3, govern access to and use of the Service.
1.2
By creating an Account, accepting an invitation, starting a trial, purchasing a Subscription Plan, uploading Customer Content, or otherwise accessing or using the Service, the Customer agrees to be bound by these Terms.
1.3
Where an individual accepts these Terms on behalf of a club, academy, school, university, company, consultancy, partnership, association or other organisation, that individual represents and warrants that they have authority to bind that organisation. In that case, the organisation is the Customer. Where an individual uses the Service in their own personal capacity, that individual is the Customer.
1.4
A person who accepts an invitation to use the Service as an Authorised User of an existing Customer organisation agrees to comply with these Terms and any applicable policies, but does not bind the Customer unless that person is authorised to do so.
1.5
The Service is intended primarily for business, professional, club, academy, school, university and analyst use. Individual users may access the Service where made available, but no user may create an Account unless they are at least 18 years old.
1.6
VectorPitch may maintain records of acceptance of these Terms and related legal documents, including the accepting user, organisation, date and time of acceptance, document versions, Subscription Plan, IP address, user agent and any acceptance confirmations displayed during sign-up, purchase or upload.
1.7
Any plain-English summaries, explanations, panels, side notes or similar materials displayed alongside these Terms, including the section summaries shown above each section, are provided for convenience only. They do not form part of these Terms and do not amend, limit or override the legal terms set out in this document. If there is any inconsistency between the legal text and any plain-English summary, the legal text will prevail.
Section 2 — Key Terms Notice
The clauses that matter most. You need permission for everyone who appears in your footage, and parental or guardian consent for under-18s. AI outputs can be wrong and must be checked by a person before you act on them. Subscriptions renew automatically and fees are generally non-refundable.
2.1
The Customer acknowledges that these Terms include provisions dealing with Customer Content, permissions, children's data, AI-generated outputs, model improvement, beta services, subscriptions, refunds, indemnities, exclusions and limitations of liability.
2.2
In particular, the Customer acknowledges that:
- (a) the Customer is responsible for ensuring that it has all rights, permissions, consents, licences, notices and legal bases required to upload, analyse, store, export and share Customer Content through the Service;
- (b) Customer Content may include children or young players where the Customer uses the Service for academies, schools, youth teams or similar programmes, and the Customer is responsible for appropriate parent, guardian, safeguarding, club, academy, school, league and competition permissions;
- (c) AI-generated outputs may be incomplete or inaccurate and must be reviewed by a suitably qualified human before being relied on;
- (d) the Service and outputs must not be used as the sole basis for medical, safeguarding, employment, disciplinary, selection, contractual, scholarship, injury, player welfare or similarly significant decisions;
- (e) if the Customer uses the Service or outputs for any High-Risk Use or in a manner subject to Applicable AI Laws or other regulated use requirements, the Customer is responsible for complying with those requirements;
- (f) depending on the applicable Subscription Plan and available controls, Customer Content and related outputs may be used for service evaluation and model improvement;
- (g) Beta Services are provided as-is and as available, without warranty of any kind, service level commitment, service credit or guaranteed processing time;
- (h) paid subscriptions renew automatically unless cancelled in accordance with these Terms;
- (i) fees are non-refundable except where required by law or agreed by VectorPitch case by case; and
- (j) VectorPitch's liability is limited as set out in these Terms.
Section 3 — Incorporated Documents and Order of Precedence
These terms work alongside our other legal documents, so read those too. Where two conflict, these terms win — except the Data Processing Agreement wins on data protection, and a signed agreement between us beats everything.
3.1
These Terms incorporate the following documents by reference, each of which will be made available to the Customer before or at the time the Customer accepts these Terms:
- (a) Privacy Notice;
- (b) Data Processing Agreement;
- (c) Acceptable Use and Customer Content Policy;
- (d) AI and Model Improvement Notice;
- (e) Sub-processor List;
- (f) Cookie Policy; and
- (g) any Subscription Plan, order details, usage limits or purchase terms displayed during sign-up, trial activation or purchase.
3.2
The Customer acknowledges that it has had an opportunity to review the documents listed in clause 3.1 before accepting these Terms.
3.3
If there is a conflict between these Terms and any incorporated document, these Terms will prevail, except that:
- (a) the Data Processing Agreement will prevail in respect of the processing of Customer Personal Data; and
- (b) a separate written agreement signed by VectorPitch and the Customer will prevail over these Terms to the extent of any conflict.
3.4
The Privacy Notice and Cookie Policy describe how personal data, cookies and similar technologies are handled. They are made available for transparency and information purposes, and nothing in these Terms limits any rights or obligations under applicable data protection, privacy, cookie or electronic communications laws.
Section 4 — Definitions and Interpretation
Definitions used throughout. Two are worth reading properly: Customer Content and High-Risk Use, both of which carry obligations later in the document.
4.1
In these Terms, the following definitions apply. (Each term defined below.)
Account means a registered account used to access the Service.
AI Features means features that use automated analysis, machine learning, computer vision or related technologies to generate tags, tracking, analysis, confidence scores, events, reports or other outputs.
Applicable AI Laws means any laws, regulations, regulatory guidance or binding rules applicable to the Customer's use of AI systems, automated analysis, biometric systems, employment technology, education technology, safeguarding technology or similar regulated systems.
Authorised User means a person authorised by the Customer to access or use the Service.
Beta Services means any services, features or functionality made available for testing, evaluation, preview, trial, beta or early-access purposes.
Claim means any third-party claim, demand, action, proceeding, investigation or complaint.
Customer means the organisation or individual accepting these Terms, as described in clause 1.3.
Customer Content means any video, footage, image, file, player data, squad data, tag, correction, annotation, comment, clip, playlist, presentation, report, export or other content submitted to, created in, generated through, stored in or shared through the Service by or for the Customer.
Customer Personal Data has the meaning given in the Data Processing Agreement.
De-identified Training Material means frames, crops, derived tracking data, tags, corrections, annotations or related outputs prepared for model evaluation or improvement in a manner designed to remove direct identity linkage, including by masking faces, removing audio and severing match, date and roster metadata using commercially reasonable technical and organisational measures.
Documentation means user guides, policies, help materials, product notices or instructions provided by VectorPitch.
High-Risk Use means any use of the Service or outputs:
- (a) that is classified as high-risk, prohibited, regulated or legally significant under Applicable AI Laws, including where applicable under Annex III of the EU AI Act or equivalent laws;
- (b) to make, materially influence or automate decisions relating to employment, recruitment, selection, discipline, dismissal, promotion, contracts, scholarships, eligibility, safeguarding, player welfare, medical treatment, injury assessment or access to opportunities;
- (c) for biometric identification, biometric verification, biometric categorisation, emotion recognition, health assessment, medical assessment or special category data processing; or
- (d) that may produce legal effects or similarly significant effects concerning an individual.
Service means VectorPitch and all related products, features, applications, websites, APIs, software, hosted services and support services made available by VectorPitch.
Subscription Plan means the plan, package, trial, beta programme or paid subscription under which the Customer accesses the Service.
Terms means this Terms of Service Agreement.
VectorPitch, we, us or our means Vector Sport Solutions Limited.
4.2
References to clauses are references to clauses of these Terms.
4.3
References to "including" or "includes" mean "including without limitation".
4.4
The singular includes the plural and the plural includes the singular.
4.5
A reference to law includes that law as amended, replaced or re-enacted from time to time.
Section 5 — Provision of the Service
What VectorPitch does: video upload, tagging, tracking, analysis, clips, reports and exports. It is a coaching and analysis tool — not a medical, safeguarding or HR system. We may change or remove features, and we'll tell you in advance if a change materially reduces a paid plan.
5.1
Subject to these Terms and the applicable Subscription Plan, VectorPitch will make the Service available to the Customer during the applicable subscription or trial period.
5.2
The Service provides tools for sports video analysis. Depending on the applicable Subscription Plan and available functionality, the Service may include:
- (a) video upload and storage;
- (b) automated and manual tagging;
- (c) player tracking and sports analysis;
- (d) heatmaps, passing networks, event detection and tactical analysis;
- (e) clips and playlists;
- (f) comments and annotations;
- (g) tactical annotation tools;
- (h) presentations and reports;
- (i) exports;
- (j) sharing tools; and
- (k) AI-generated outputs, confidence scores and related analysis.
5.3
The Service is provided for coaching, tactical analysis, video review and decision-support. It is not provided as a medical, safeguarding, employment, disciplinary, contract management, player welfare, healthcare, automated decision-making or High-Risk Use system. The Customer's AI regulatory responsibilities are set out in clause 13.
5.4
VectorPitch may modify, update, suspend, discontinue or replace features from time to time. Where a change materially reduces the core functionality of a paid Subscription Plan, VectorPitch will take commercially reasonable steps to notify affected Customers.
Section 6 — Beta Services
Beta features carry no guarantees. They may be slow, inaccurate, or withdrawn without notice, with no uptime commitment and no guaranteed processing time. Beta use may include your footage helping improve our models — Section 15 covers how, and how to opt out.
6.1
VectorPitch may make Beta Services available from time to time.
6.2
Beta Services are provided for testing and evaluation. They may be incomplete, inaccurate, interrupted, unavailable, changed, withdrawn or discontinued at any time.
6.3
During beta, the Service may be provided free of charge or at a discounted price. Beta Services are provided as-is and as available, without warranty of any kind, service level agreement, uptime commitment, service credit, guaranteed processing time or guarantee of accuracy.
6.4
VectorPitch may apply temporary, promotional or discretionary usage allowances during beta. Such allowances are not permanent and may be changed, reduced, suspended or withdrawn.
6.5
Participation in beta may include use of Customer Content and related outputs for service evaluation and model improvement, as described in these Terms, the Privacy Notice, the AI and Model Improvement Notice and the applicable Subscription Plan.
Section 7 — Accounts and Eligibility
You must be 18 to hold an account, and you're responsible for everything done under yours. If you upload footage of under-18s, getting parental or guardian consent and keeping access to appropriate adults is on you.
7.1
No person under the age of 18 may create an Account.
7.2
The Service is not directed to children and VectorPitch does not knowingly permit children to create Accounts.
7.3
Customer Content may include children or young players where the Customer uses the Service for academies, schools, youth teams or similar programmes. Where Customer Content includes children, the Customer must ensure that such Customer Content is uploaded, accessed, used and shared only by appropriately authorised adults and in accordance with applicable child privacy, safeguarding, parental consent, guardian consent and other legal requirements.
7.4
Where applicable law sets an age threshold for a child's own consent to online services or data processing, the Customer is responsible for ensuring that an appropriate lawful basis, consent, authorisation or notice is in place.
7.5
The Customer must ensure that all Account information is accurate, complete and kept up to date.
7.6
The Customer is responsible for maintaining the confidentiality and security of Account credentials and for all activity under its Accounts, organisations and Authorised Users.
7.7
Accounts must not be shared. Each Authorised User must use their own Account unless VectorPitch expressly permits otherwise in writing.
7.8
VectorPitch may reject, suspend or close an Account where VectorPitch reasonably believes that the user is under 18, the Account information is inaccurate, the Account is unauthorised, or the Account creates a legal, security, privacy, safeguarding or operational risk.
Section 8 — Organisations, Teams and Authorised Users
You control who is in your organisation and what they can see — inviting people, setting roles, removing those who no longer need access, and restricting access where under-18 players are involved. You can't run VectorPitch as a resale or white-label service without our agreement.
8.1
A Customer may create or administer one or more organisations in the Service, subject to the applicable Subscription Plan.
8.2
An organisation may contain multiple teams or squads. An Authorised User may belong to more than one organisation.
8.3
The Customer is responsible for:
- (a) inviting and removing Authorised Users;
- (b) assigning appropriate roles and permissions;
- (c) managing access to organisations, teams, squads and Customer Content;
- (d) ensuring that Authorised Users are authorised to access relevant Customer Content;
- (e) removing Authorised Users who no longer require access;
- (f) managing access to Customer Content involving children or young players; and
- (g) enabling and using available security controls where appropriate.
8.4
Where an organisation contains under-18 players, the Customer must ensure that access is restricted to appropriate Authorised Users.
8.5
Consultants, freelance analysts and external staff may be invited into multiple organisations, but each organisation remains separate.
8.6
Unless expressly agreed in writing, the Customer must not operate the Service as a bureau, reseller, managed service, partner service or white-label service.
Section 9 — Customer Content and Rights
Everything you upload is your responsibility, including whether you had the right to upload it. That covers everyone identifiable in the footage — opposition players, referees, spectators and staff, not just your own team. We don't sell your footage or use it for advertising.
9.1
The Customer is solely responsible for all Customer Content.
9.2
The Customer must not upload, process, store, share, export or otherwise use any Customer Content unless it has all rights, permissions, consents, licences, notices and legal bases required to do so.
9.3
Clause 9.2 applies to all content and individuals appearing in footage, including players, opposition players, coaches, referees, spectators, parents, guardians, medical staff, staff members, children and any other identifiable person.
9.4
The Customer is responsible for ensuring that its use of the Service complies with applicable laws, league rules, competition rules, club policies, school policies, academy requirements, safeguarding obligations, privacy requirements, parental or guardian permissions, player notices and third-party rights.
9.5
The Customer represents and warrants that it holds, controls or has validly licensed all rights required for use of Customer Content in the Service, including filming rights, broadcast rights, league rights, competition rights, club rights, image rights, intellectual property rights and data protection rights.
9.6
VectorPitch does not verify whether the Customer owns or has rights to uploaded footage. Uploading tools are provided for Customer convenience and do not grant the Customer any rights in footage or other content.
9.7
VectorPitch does not sell Customer Content or share Customer Content for targeted advertising.
Section 10 — Video Upload and Sharing
You can upload supported video and build clips, playlists and reports from it. Deciding whether footage may lawfully be shared with a club, player, parent or platform is your call. We can disable sharing or remove content where there's a legal, privacy or safeguarding reason.
10.1
The Customer may upload video files supported by the Service. At launch, the Service is intended to support video uploads of up to 16 GB, subject to technical constraints, usage limits and the applicable Subscription Plan.
10.2
VectorPitch may use automated tools to classify or assess uploaded video, including to determine whether footage appears to be broadcast footage, panoramic footage, match footage, training footage or highlights.
10.3
VectorPitch may require Authorised Users to confirm rights and permissions before uploading or sharing Customer Content.
10.4
The Customer may create clips, playlists, presentations and reports from Customer Content. The Customer may share Customer Content externally through available sharing tools, including private or password-protected links where supported.
10.5
The Customer is solely responsible for determining whether Customer Content may lawfully be shared with clubs, players, parents, guardians, agents, social media platforms, opposition teams or any other third party.
10.6
VectorPitch may disable sharing, suspend access to or remove Customer Content where VectorPitch reasonably believes that doing so is necessary for legal, privacy, safeguarding, security, abuse prevention, rights management or operational reasons.
Section 11 — Academy and Youth Use
You can use VectorPitch for academies, schools and youth teams. If you do, you're responsible for parent and guardian consent, safeguarding requirements, league and competition rules, access controls, and limits on sharing footage of children. We don't provide accounts for players, parents or guardians.
11.1
The Service may be used for academies, schools, youth teams and other environments involving under-18 players.
11.2
The Customer is responsible for ensuring that any use involving children or young players is lawful, appropriate and properly permissioned.
11.3
Without limiting clause 11.2, the Customer is responsible for:
- (a) parent or guardian notices, consents or authorisations where required;
- (b) player notices where appropriate;
- (c) safeguarding requirements;
- (d) club, academy, school, league and competition requirements;
- (e) applicable age thresholds for child consent or parental consent;
- (f) access controls for relevant squads, teams, footage and outputs; and
- (g) restrictions on sharing or exporting content involving children.
11.4
VectorPitch does not provide accounts for players, parents or guardians at launch.
Section 12 — AI Features and Outputs
AI analysis makes mistakes, and quality depends on footage, camera angle and lighting. Check and correct outputs before relying on them, and never use them alone for a significant decision such as selection, discipline or medical assessment. We don't guarantee accuracy.
12.1
The Service may include AI Features that generate tags, player tracking, events, confidence scores, analysis, reports or other outputs.
12.2
Where practical, AI-generated or AI-assisted outputs will be identified in the Service.
12.3
AI-generated outputs are provided for coaching, tactical analysis, video review and decision-support. They may be incomplete, inaccurate, delayed, unsuitable for a particular purpose or affected by the quality and nature of input footage.
12.4
Analysis quality may vary depending on factors such as footage quality, camera angle, lighting, resolution, occlusion, player visibility, pitch visibility, camera movement, match context and video format.
12.5
The Customer and its Authorised Users are responsible for reviewing, correcting and validating AI-generated outputs before relying on them.
12.6
The Customer must not use AI-generated outputs as the sole basis for any High-Risk Use.
12.7
VectorPitch does not warrant or guarantee the accuracy, completeness or reliability of AI-generated outputs.
Section 13 — AI Regulatory Responsibilities
How you deploy VectorPitch inside your organisation is your responsibility. If your use falls under AI regulation such as the EU AI Act, complying with it is your obligation rather than ours — and high-risk uses need human oversight and the right legal basis first.
13.1
VectorPitch is provided for coaching, tactical analysis, video review and decision-support.
13.2
The Customer is responsible for how it configures, deploys, interprets and uses the Service and its outputs within its own organisation, teams, squads, workflows and decision-making processes.
13.3
To the extent the Customer uses the Service or any output in a manner subject to Applicable AI Laws, the Customer is responsible for complying with its obligations as deployer, user, employer, education provider, club, academy, school, controller or other regulated person, as applicable.
13.4
The Customer must not use the Service or outputs for any High-Risk Use unless:
- (a) such use is expressly permitted by these Terms or a written agreement with VectorPitch;
- (b) the Customer has satisfied all applicable legal, regulatory, governance, transparency, human oversight, record-keeping, impact assessment and conformity obligations;
- (c) the Customer has obtained all required rights, notices, consents, lawful bases and authorisations; and
- (d) the Customer maintains appropriate human review and oversight.
13.5
Nothing in these Terms makes VectorPitch responsible for the Customer's decision to use the Service or outputs for a purpose outside the intended purpose described in these Terms and the Documentation.
Section 14 — Corrections and Feedback Signals
When you fix a tag or flag an output as wrong, we may use that correction to improve the AI.
14.1
Authorised Users may be able to view, edit, correct, annotate or confirm AI-generated outputs.
14.2
VectorPitch may use corrections, reported errors, feedback, annotations, comments, tags and related outputs to provide, evaluate, improve and develop the Service, including AI Features.
14.3
The Customer is encouraged to report incorrect outputs through available product or support channels.
Section 15 — Service Operation and Model Improvement
Depending on your plan, your footage may help train and improve our models. Where it does, we anonymise it first — faces masked, audio removed, match dates and squad lists stripped — and we don't keep raw video in the training set. We never train models to identify named people, and third-party AI providers can't use your footage for their own models. Clause 15.11 sets out how to opt out.
15.1
VectorPitch may process Customer Content as necessary to provide, maintain, secure and support the Service, including to process uploaded videos, generate analysis, create clips and exports, operate sharing tools, troubleshoot issues, investigate security matters and investigate abuse concerns.
15.2
The base Service runs on pre-trained models. Customer-derived model improvement is used to improve accuracy on real-world sports footage, including amateur, academy and youth footage, varied camera angles, lower production quality video, different kits and different playing environments. Customer-derived model improvement is not required for the base Service to function.
15.3
Depending on the applicable Subscription Plan and available controls, VectorPitch may use Customer Content and related outputs to evaluate, train, fine-tune and improve the Service, including automated tagging, tracking and sports analysis models.
15.4
Where Customer Content is used for model improvement, VectorPitch is designed not to retain raw identifiable video in the training corpus. Model improvement is intended to use De-identified Training Material, including face-masked frames or crops, derived tracking data, tags, corrections, annotations and related outputs. Audio is removed and match, date and roster metadata is severed using commercially reasonable technical and organisational measures.
15.5
VectorPitch uses model improvement to improve sports analysis features such as player detection, ball detection, pitch layout, tracking, tagging, event detection and tactical analysis.
15.6
VectorPitch does not use Customer Content in public demos, marketing materials, case studies or public customer stories without the Customer's prior agreement.
15.7
VectorPitch does not use Customer Content to train models to identify named individuals.
15.8
VectorPitch does not permit third-party AI providers to use Customer Content to train their own models.
15.9
Customer Content is not sent to OpenAI, Anthropic or similar third-party AI providers for model training. Where third-party AI providers are used to provide inference, enrichment or other Service functionality, VectorPitch will use commercially reasonable measures to configure those services so that Customer Content is not used to train the provider's models.
15.10
Some lower-cost, beta or promotional plans may include model improvement use as part of the plan. If a Subscription Plan includes model improvement use or offers a model improvement exclusion, those terms will be displayed or linked before purchase, activation or upload where reasonably practical.
15.11
Where a Customer requires exclusion from model improvement involving Customer Content, the Customer must either:
- (a) select a Subscription Plan that includes a model improvement exclusion;
- (b) enable the applicable product control, if available; or
- (c) notify VectorPitch in writing at support@vectorpitch.com with the subject line "Model Improvement Exclusion" before the first upload of Customer Content that the Customer wishes to exclude.
15.12
A model improvement exclusion is not effective unless confirmed in the Service, stated in the applicable Subscription Plan or confirmed by VectorPitch in writing. Unless otherwise agreed, a model improvement exclusion applies prospectively only and does not require deletion of De-identified Training Material already created or retraining of models already developed.
15.13
For youth, academy, school or similar customers, VectorPitch will apply the youth or academy model improvement controls specified in the applicable Subscription Plan, product settings, AI and Model Improvement Notice or Documentation.
15.14
Deletion of Customer Content removes it from the Customer's active workspace and scheduled future processing. Because model improvement is designed to use De-identified Training Material rather than retained raw identifiable video, deletion of source Customer Content may not require deletion of existing training materials or retraining of models, unless required by law or the applicable Subscription Plan.
Section 16 — Biometric Data, Special Category Data and Identity Features
VectorPitch isn't built for facial recognition, biometric identification or emotion recognition, and you must not use it that way without our written agreement. If you combine our outputs with other data to identify individuals, having a lawful basis for that is your responsibility.
16.1
The launch Service is not intended to provide facial recognition, biometric identification, biometric categorisation or automatic identity matching across unrelated videos.
16.2
The Service may generate player tracking, movement, speed, distance, acceleration, positioning and similar sports analysis outputs. Such outputs are intended for sports analysis and are not intended to uniquely identify individuals.
16.3
If the Customer uses Service outputs, alone or in combination with other data, to identify or verify individuals, analyse biometric characteristics, create biometric templates, conduct biometric categorisation, infer special category data or otherwise process special category data, the Customer is responsible for ensuring that it has a lawful basis and, where required, an Article 9 GDPR condition or equivalent legal basis under applicable law.
16.4
The Customer must not use the Service for biometric identification, biometric categorisation, emotion recognition, health assessment, medical assessment or other special category processing unless expressly agreed in writing with VectorPitch and permitted by applicable law.
16.5
If VectorPitch introduces features that use facial recognition, biometric identification, biometric categorisation or automatic identity matching across videos, VectorPitch will update its notices, Documentation and safeguards before making those features available.
Section 17 — Customer Content Licence
You own your content. You're giving us permission to process it so the service can run — hosting, analysis, clips, exports, support, and improving our AI where your plan allows — and nothing beyond the purposes listed here.
17.1
The Customer hereby grants to VectorPitch a non-exclusive, worldwide, royalty-free, sublicensable licence, for the duration of the applicable Subscription Plan and for any longer period permitted or required under these Terms, to host, copy, process, transmit, display, analyse, modify and create derivative works from Customer Content solely as necessary to:
- (a) provide the Service;
- (b) operate, maintain and secure the Service;
- (c) generate analysis outputs, clips, playlists, presentations, reports and exports;
- (d) provide support and troubleshooting;
- (e) investigate abuse, security incidents, rights complaints or legal issues;
- (f) comply with law; and
- (g) improve the Service, including AI Features, except where the applicable Subscription Plan, product controls or a written agreement states otherwise.
17.2
The licence granted under clause 17.1 includes the right to grant sublicences to sub-processors, service providers, contractors and professional advisers solely as necessary for the purposes set out in clause 17.1 and subject to appropriate contractual obligations.
17.3
The Customer retains ownership of Customer Content, subject to the rights granted in these Terms.
Section 18 — Data Protection
For the footage and data you upload, you're normally the controller and we're the processor. For billing, security, support and our own product analytics, we're the controller. Telling players, staff and parents that their data may be processed, and getting any consent required, is your responsibility.
18.1
Each party will comply with applicable data protection laws.
18.2
Where VectorPitch processes Customer Personal Data on behalf of the Customer, the Data Processing Agreement applies.
18.3
For customer-uploaded footage, player data, squad data, tags, clips, annotations, comments, playlists, presentations, reports and exports, the Customer is normally the controller and VectorPitch is normally the processor.
18.4
For account management, billing, security, support, website, product analytics, service improvement and related business operations, VectorPitch may act as controller, as described in the Privacy Notice.
18.5
For model evaluation and improvement carried out for VectorPitch's own purposes, VectorPitch acts as an independent controller, as described in the Privacy Notice.
18.6
The Customer is responsible for providing appropriate privacy notices and, where required, obtaining appropriate permissions, consents or other legal bases for players, staff, parents, guardians, opposition teams and other relevant individuals.
18.7
VectorPitch will maintain records of processing activities where required by applicable data protection law.
Section 19 — Sub-processors and International Transfers
We use third-party providers to run the service, all named in the Sub-processor list. Your data may be processed outside your country, including in the United States, under recognised transfer safeguards. You can object to a new sub-processor on reasonable data protection grounds.
19.1
VectorPitch may use sub-processors and service providers to provide the Service.
19.2
The Sub-processor List describes the sub-processors used by VectorPitch, their purposes and the relevant categories of data.
19.3
VectorPitch may update the Sub-processor List from time to time. Where required, VectorPitch will provide notice of new sub-processors.
19.4
The Customer may object to a new sub-processor on reasonable data protection grounds. If VectorPitch cannot reasonably resolve the objection, VectorPitch may suspend the affected feature or terminate the relevant Subscription Plan.
19.5
Personal data may be processed in countries outside the Customer's location, including the United States.
19.6
Where required, VectorPitch uses appropriate safeguards for international transfers, which may include adequacy decisions, the EU-US Data Privacy Framework where applicable, the European Commission's Standard Contractual Clauses, the UK International Data Transfer Agreement or UK Addendum, and equivalent safeguards under applicable law, as described in the Data Processing Agreement and Sub-processor List.
Section 20 — Security
We maintain reasonable technical and organisational safeguards. You're responsible for using the controls available to you — roles, permissions, removing users, keeping credentials safe. If we discover a breach affecting your personal data we will tell you without undue delay and in any event within 72 hours.
20.1
VectorPitch will maintain reasonable technical and organisational measures designed to protect Customer Content and Customer Personal Data.
20.2
Such measures may include:
- (a) multi-factor authentication;
- (b) role-based access control;
- (c) organisation and team-level permissions;
- (d) private cloud storage;
- (e) encryption in transit;
- (f) encryption at rest where technically supported;
- (g) rate limiting;
- (h) security logging;
- (i) controlled internal access;
- (j) backup and recovery measures; and
- (k) incident response procedures.
20.3
The Customer is responsible for using available security controls, assigning appropriate roles, removing users who no longer require access and keeping credentials secure.
20.4
VectorPitch will notify affected Customers without undue delay and in any event within 72 hours after becoming aware of a personal data breach affecting Customer Personal Data.
20.5
Security reports may be sent to security@vectorpitch.com.
Section 21 — Support
Support is by email on a reasonable-efforts basis. We don't guarantee response or resolution times, and during beta much of onboarding and support is self-service.
21.1
Support is provided by email at support@vectorpitch.com unless otherwise stated.
21.2
Support is provided on a reasonable-efforts basis.
21.3
VectorPitch does not guarantee response times, resolution times or availability of human support unless a separate written agreement states otherwise.
21.4
During beta, onboarding, support and service operation may be partly or fully self-service.
Section 22 — Trials, Subscriptions and Billing
Prices, billing frequency and renewal terms are shown before you pay. Paid subscriptions renew automatically — cancel before the renewal date to avoid the charge, and you can cancel online if you signed up online. A failed payment gives you 7 days to fix it before access is suspended.
22.1
VectorPitch may offer free trials, beta access, promotional plans, monthly subscriptions and annual subscriptions.
22.2
Before a paid subscription begins, VectorPitch will display the applicable price, billing frequency, renewal terms, trial period if any, cancellation method and any material usage limits.
22.3
Trials may last for up to 30 days unless otherwise stated.
22.4
Trial users may be allowed to export analysis outputs, subject to plan limits and these Terms.
22.5
Paid subscriptions renew automatically unless cancelled before the renewal date.
22.6
Annual plans are paid upfront. Monthly plans are billed monthly.
22.7
Where a subscription is started online, the Customer will be able to cancel online through the Service or another reasonably simple online method.
22.8
For annual subscriptions, VectorPitch may send a renewal reminder before renewal where required by law or where reasonably practical.
22.9
To avoid renewal, the Customer must cancel before the renewal date. Where the Service displays a specific cancellation deadline, the Customer must cancel by that deadline, which will not be earlier than 5 business days before the renewal date unless required by a payment provider, app store or applicable law.
22.10
If payment fails, VectorPitch may provide a 7-day grace period. If payment is not resolved within that period, VectorPitch may suspend or restrict access to the Service.
22.11
Where paid plans are available, payments may be processed by Stripe or another payment provider. Payment provider terms may apply. Stripe is not part of the Service unless and until payment processing is enabled.
Section 23 — Fees, Taxes and Refunds
Prices exclude VAT and local taxes, which are yours to pay. Fees are generally non-refundable, including where AI output wasn't as accurate as you hoped. If you're a consumer, your statutory cancellation and refund rights still apply regardless.
23.1
The Customer must pay all applicable fees for its Subscription Plan.
23.2
Fees may be charged in euro, sterling, US dollars or other currencies made available by VectorPitch.
23.3
Fees are exclusive of taxes unless stated otherwise. The Customer is responsible for applicable taxes, duties, levies or similar charges, except taxes based on VectorPitch's income.
23.4
Except where required by law or agreed by VectorPitch case by case, fees are non-refundable.
23.5
VectorPitch does not provide refunds solely because AI-generated outputs are inaccurate, incomplete, delayed or unsuitable for a particular purpose.
23.6
Clause 23 does not affect any cancellation, cooling-off, refund or other rights that a consumer may have under mandatory law.
Section 24 — Usage Limits and Fair Use
Your plan carries limits on things like storage, users and processing volume. We monitor usage, and may throttle or ask you to move up a plan if you exceed them.
24.1
Subscription Plans may include limits on users, organisations, teams, videos, storage, processing volume, exports, sharing, AI Features, model improvement exclusions or other usage.
24.2
VectorPitch may monitor usage.
24.3
VectorPitch may throttle, restrict, suspend or require the Customer to move to a higher plan where usage exceeds applicable limits or creates operational, security, legal, support or cost issues.
24.4
VectorPitch may apply temporary, promotional or beta usage allowances. Such allowances are not permanent and may be changed or removed.
Section 25 — Cancellation and Account Closure
Cancelling doesn't cut access immediately — you keep it until the paid period ends. After that you normally have 30 days to export your content before it's deleted, unless the account was terminated for misconduct. Player requests to access or delete data are normally directed to you as controller.
25.1
The Customer may cancel a paid subscription.
25.2
Unless otherwise stated, cancellation takes effect at the end of the current billing period.
25.3
After cancellation or expiry, the Customer will normally have 30 days to export available Customer Content, unless the Account has been suspended or terminated for serious breach, security risk, non-payment, unlawful use or misuse.
25.4
The 30-day export period relates to Customer Content export rights. It does not limit any data subject rights that may apply under data protection law.
25.5
After the export period, VectorPitch may delete, disable or restrict access to the Account and Customer Content.
25.6
The Customer may request deletion of an entire organisation and its content.
25.7
The Customer may delete videos and analysis outputs through available product functionality.
25.8
Individual player record deletion may not be fully supported at launch. Where an individual seeks deletion of or access to data contained in Customer Content, VectorPitch will normally refer the request to the relevant Customer.
Section 26 — Retention and Deletion
We keep your content while the account and plan are active. Deleted content comes out of live systems, though copies may persist briefly in backups and logs until normal retention cycles overwrite them.
26.1
VectorPitch retains Customer Content while the relevant Account, organisation or Subscription Plan remains active, subject to plan limits and these Terms.
26.2
Deleted content is removed from active use and scheduled for deletion from live production systems.
26.3
Copies may remain in backups, logs or archival systems for a limited period until overwritten or deleted through normal retention cycles.
26.4
Backups are normally deleted or overwritten within 90 days.
26.5
Support emails may be retained for 24 months.
26.6
Security logs may be retained for 12 months.
26.7
Product analytics and usage metadata may be retained for 24 months or anonymised earlier where practical.
26.8
Billing records may be retained for applicable legal, accounting and tax periods.
26.9
Failed uploads may be deleted after 7 days.
26.10
Failed processing job logs may be retained for 30 days.
26.11
Model improvement datasets may be retained while reasonably needed for model evaluation, training, testing, auditability and improvement, subject to review at least annually. Such datasets are intended to consist of De-identified Training Material rather than retained raw identifiable video.
26.12
Once Customer Content is downloaded, exported or shared outside the Service by the Customer or an Authorised User, the Customer is responsible for that copy.
Section 27 — Acceptable Use
What you must not do. The main ones: don't upload footage you lack rights to, don't misuse footage of children, don't rely on AI outputs alone for significant decisions, don't reverse-engineer or resell the service, and don't use it for match-fixing or bribery.
27.1
The Customer and its Authorised Users must not:
- (a) upload content they do not have rights or permission to use;
- (b) upload unlawful, harmful, exploitative, abusive or infringing content;
- (c) misuse footage involving children or young players;
- (d) use the Service for unlawful surveillance, harassment or discrimination;
- (e) attempt to identify individuals in a way not supported or authorised by the Service;
- (f) use outputs as the sole basis for High-Risk Use;
- (g) interfere with or disrupt the Service;
- (h) attempt to bypass security, access controls, usage limits or rate limits;
- (i) scrape, copy or reverse engineer the Service except as permitted by law;
- (j) share Accounts or credentials;
- (k) resell, sublicense, white-label or provide the Service to third parties unless agreed in writing;
- (l) use the Service to reverse engineer VectorPitch's technology, benchmark the Service for publication, train competing computer vision or AI models, or build a substantially similar commercial service;
- (m) upload malware or malicious code;
- (n) breach applicable laws, rights, league rules, safeguarding rules or third-party contracts;
- (o) use the Service in breach of applicable export control, trade sanctions or embargo laws;
- (p) provide access to the Service to sanctioned persons or persons located in embargoed territories where prohibited by applicable law; or
- (q) use the Service for bribery, corruption, match-fixing or other improper sporting, commercial or public conduct.
27.2
VectorPitch may suspend or terminate access where it reasonably believes this clause has been breached.
Section 28 — Anti-Bribery, Sanctions and Export Controls
Both sides comply with anti-bribery, anti-money-laundering, sanctions and export control law. You confirm you're not a sanctioned party and won't use the service in breach of those rules.
28.1
Each party must comply with applicable anti-bribery, anti-corruption, anti-money laundering, trade sanctions and export control laws in connection with these Terms and the Service.
28.2
The Customer must not use the Service, or permit the Service to be used, in a manner that would breach applicable sanctions, export controls, anti-bribery or anti-corruption laws.
28.3
The Customer represents that neither it nor, to its knowledge, its Authorised Users are subject to sanctions that prohibit use of the Service.
Section 29 — Intellectual Property
We own the service, software and models. You get the limited right to use them set out here and nothing more — so no copying, reverse-engineering, reselling or scraping.
29.1
VectorPitch and its licensors own all rights, title and interest in and to the Service, software, technology, designs, models, workflows, interfaces, Documentation, trademarks and related intellectual property.
29.2
Except for the limited rights expressly granted in these Terms, no rights are transferred to the Customer or any Authorised User.
29.3
The Customer must not copy, modify, distribute, reverse engineer, decompile, sell, rent, lease, sublicense or otherwise exploit the Service except as permitted by these Terms or applicable law.
29.4
Customer Content remains owned by the Customer or its relevant rights holders.
Section 30 — Paid Subscription IP Claims
If a third party claims VectorPitch itself infringes their intellectual property and you're on a paid plan, we'll defend you and cover court-awarded damages. This doesn't cover claims arising from your own content.
30.1
For paid subscriptions, VectorPitch will defend the Customer against a third-party Claim alleging that the Service, as provided by VectorPitch and used in accordance with these Terms, infringes that third party's intellectual property rights.
30.2
VectorPitch will pay final damages awarded by a court or settlement amounts approved by VectorPitch in respect of a Claim covered by clause 30.1.
30.3
Clauses 30.1 and 30.2 do not apply to Claims arising from:
- (a) Customer Content;
- (b) customer modifications or combinations not provided by VectorPitch;
- (c) use of the Service in breach of these Terms;
- (d) use of the Service after VectorPitch has provided a reasonable workaround, replacement, modification or termination right;
- (e) third-party services;
- (f) beta, trial or free access; or
- (g) open source software used in accordance with its applicable licence.
30.4
If an IP Claim is made or reasonably expected, VectorPitch may procure the right for the Customer to continue using the Service, modify the Service, replace the affected feature or terminate the affected subscription and refund prepaid unused fees for the affected period.
Section 31 — Publicity
We may name you as a customer and show your logo. Clause 31.3 tells you how to opt out.
31.1
VectorPitch may identify the Customer as a VectorPitch customer by name and logo in customer lists, website materials, investor materials and sales materials.
31.2
VectorPitch will not issue a press release, publish a case study or use Customer Content in public marketing without the Customer's prior agreement.
31.3
The Customer may opt out of logo use by notifying VectorPitch at support@vectorpitch.com.
Section 32 — Feedback
If you send us ideas or suggestions, we can use them to improve the product without payment or credit, including after you stop using VectorPitch.
32.1
The Customer, on behalf of itself and its Authorised Users, hereby grants VectorPitch a perpetual, irrevocable, worldwide, royalty-free, sublicensable and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute and otherwise exploit any feedback, suggestions, corrections, ideas or recommendations for any purpose, without compensation or attribution.
32.2
The Customer must ensure that it has all rights and permissions required to grant the licence in clause 32.1 on behalf of its Authorised Users.
32.3
Clause 32.1 does not permit VectorPitch to use Customer Content in public marketing or case studies without the Customer's prior agreement.
Section 33 — Confidentiality
Each side protects the other's confidential information and uses it only for this agreement, while still being able to disclose where the law requires it.
33.1
Each party may receive confidential information from the other party.
33.2
Confidential information means information disclosed by or on behalf of one party to the other that is marked confidential, would reasonably be understood to be confidential due to its nature or the circumstances of disclosure, or includes non-public business, technical, financial, operational, product, security, customer, player, match, footage or data information.
33.3
Each party must protect the other party's confidential information using no less than the same degree of care it uses to protect its own confidential information of similar sensitivity, and in any event no less than reasonable care.
33.4
Each party may use the other party's confidential information only for purposes connected with these Terms and the Service.
33.5
Confidential information does not include information that:
- (a) is public through no breach of these Terms;
- (b) was already known without restriction;
- (c) is independently developed without use of the other party's confidential information; or
- (d) is lawfully received from a third party without confidentiality restriction.
33.6
A party may disclose confidential information:
- (a) to employees, contractors, advisers, auditors, insurers, investors, acquirers, affiliates and service providers who need to know it for purposes connected with these Terms and are subject to confidentiality obligations;
- (b) where required by law, court order, regulator, stock exchange, government authority or similar process, provided that the disclosing party gives reasonable notice where legally permitted; or
- (c) to enforce its rights under these Terms.
33.7
Each party acknowledges that unauthorised disclosure or use of confidential information may cause irreparable harm for which damages may be an inadequate remedy. The non-breaching party may seek injunctive or other equitable relief for breach or threatened breach of this clause, without limiting any other rights or remedies.
Section 34 — Customer Warranties
The binding promises you're making: that you have authority to agree, that you hold the rights to your footage, that your use won't breach the law or anyone's rights, and that your users will comply. If one turns out to be untrue, the indemnity in Section 37 may apply.
34.1
The Customer represents and warrants that:
- (a) it has authority to enter into these Terms and, where applicable, to accept these Terms on behalf of an organisation;
- (b) it has all rights, permissions, consents, licences, notices and legal bases required to upload, process, analyse, store, share and export Customer Content through the Service;
- (c) it holds, controls or has validly licensed all filming rights, broadcast rights, league rights, competition rights, club rights, image rights, intellectual property rights and data protection rights required for use of Customer Content in the Service;
- (d) its Customer Content and use of the Service will not infringe third-party rights or breach applicable laws, league rules, competition rules, safeguarding rules, privacy requirements or contractual obligations;
- (e) where Customer Content includes children or young players, it has appropriate parent, guardian, safeguarding, club, academy, school, league and competition permissions or other lawful basis where required;
- (f) it has all rights and permissions required to grant the feedback licence in clause 32 on behalf of its Authorised Users; and
- (g) it will ensure that Authorised Users comply with these Terms.
34.2
More detailed Customer Content responsibilities are set out in the Acceptable Use and Customer Content Policy.
Section 35 — VectorPitch Limited Warranty
We'll provide the service with reasonable skill and care. That warranty doesn't extend to beta features, free trials, experimental functionality or AI-generated output.
35.1
VectorPitch will provide the Service with reasonable skill and care.
35.2
The limited warranty in clause 35.1 does not apply to Beta Services, free trials, experimental features, AI-generated outputs, third-party services, unsupported use cases, customer misuse, unsupported footage, Customer Content, customer devices, customer networks or circumstances outside VectorPitch's reasonable control.
Section 36 — Disclaimers
We make no promise about uptime, processing speed or AI accuracy. Expect that the service may occasionally be unavailable or slow, and that outputs may need correcting.
36.1
To the maximum extent permitted by law, except as expressly stated in these Terms, the Service is provided as available and, during beta, as-is and as available, without warranty of any kind.
36.2
VectorPitch does not guarantee that:
- (a) the Service will be uninterrupted, error-free, secure or available at any particular time;
- (b) videos will process within any particular period;
- (c) AI-generated outputs will be accurate, complete or suitable for a particular purpose;
- (d) any particular feature will remain available;
- (e) errors will be corrected within any particular period;
- (f) the Service will meet the Customer's requirements;
- (g) the Service will be compatible with all footage, devices, browsers, networks or workflows; or
- (h) Customer Content uploaded by users is lawful, permissioned or suitable for processing.
36.3
To the maximum extent permitted by law, VectorPitch disclaims all implied warranties, conditions, representations and terms, including implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title and non-infringement.
36.4
Nothing in these Terms excludes or limits warranties, rights or remedies that cannot be excluded or limited by law.
Section 37 — Customer Indemnity
If we face a claim or costs because of your content or your breach of these terms — footage you didn't have permission for, say — you cover them.
37.1
The Customer will indemnify and hold harmless VectorPitch, its directors, officers, employees, contractors, affiliates and service providers against third-party Claims, losses, damages, penalties, fines, reasonable costs and reasonable expenses arising from or relating to:
- (a) Customer Content;
- (b) the Customer's breach of the Customer warranties in these Terms;
- (c) the Customer's unlawful, unauthorised or infringing upload, processing, sharing or export of content;
- (d) the Customer's failure to obtain required rights, permissions, consents, licences, notices or legal bases; or
- (e) the Customer's prohibited use of the Service or outputs.
37.2
The Customer will not be required to indemnify VectorPitch to the extent the Claim arises from VectorPitch's breach of these Terms, gross negligence, wilful misconduct or unlawful processing of personal data.
37.3
VectorPitch will promptly notify the Customer of any Claim for which it seeks indemnity, give the Customer reasonable control of the defence and settlement, and provide reasonable assistance at the Customer's expense.
37.4
VectorPitch reserves the right to participate in the defence of any Claim at its own expense with counsel of its own choosing.
37.5
The Customer must not settle any Claim in a way that imposes liability, admission or obligation on VectorPitch without VectorPitch's prior written consent.
Section 38 — Limitation of Liability
We're not liable for lost profits, lost business, lost data, or losses from decisions you made on the back of AI outputs. Total liability is capped at the fees you paid in the last 12 months or €2,500, whichever is higher, and €100 for free or beta access. Nothing here caps liability that the law says can't be capped.
38.1
The limitations and exclusions in this clause apply regardless of the form of action, whether in contract, tort including negligence, breach of statutory duty, misrepresentation, restitution or otherwise.
38.2
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded.
38.3
Subject to clause 38.2, VectorPitch will not be liable for:
- (a) loss of profits;
- (b) loss of revenue;
- (c) loss of business;
- (d) loss of anticipated savings;
- (e) loss of goodwill;
- (f) loss or corruption of data, except to the extent caused by VectorPitch's breach of the Data Processing Agreement;
- (g) indirect, incidental, special, consequential, exemplary or punitive loss;
- (h) decisions made based on AI-generated outputs;
- (i) Customer Content uploaded, shared, exported or used by the Customer;
- (j) failure by the Customer to obtain rights, permissions, consents, licences, notices or legal bases;
- (k) suspension, withdrawal or change of Beta Services;
- (l) unsupported footage, footage quality issues or customer workflow issues; or
- (m) third-party services outside VectorPitch's reasonable control.
38.4
Clause 38.3 does not limit VectorPitch's obligations under the Data Processing Agreement for sub-processors it appoints.
38.5
Subject to clauses 38.2, 38.6 and 38.7, VectorPitch's total aggregate liability arising out of or relating to the Service will not exceed the greater of:
- (a) the fees paid by the Customer to VectorPitch for the Service in the 12 months before the event giving rise to the claim; or
- (b) €2,500.
38.6
For free trials or beta access provided without charge, VectorPitch's total aggregate liability will not exceed €100, unless a higher amount is required by law.
38.7
The liability cap in clause 38.5 does not apply to:
- (a) the Customer's payment obligations;
- (b) VectorPitch's express obligation to refund prepaid unused fees under these Terms;
- (c) the Customer's indemnity obligations under these Terms;
- (d) breach of confidentiality;
- (e) misuse of the other party's intellectual property;
- (f) fraud, fraudulent misrepresentation or wilful misconduct; or
- (g) any liability that cannot be limited by law.
Section 39 — DPA Liability
The liability caps above also apply to claims under the Data Processing Agreement, except where data protection law says otherwise.
39.1
The liability provisions in these Terms apply to claims under the Data Processing Agreement, except to the extent prohibited by applicable data protection law or expressly stated otherwise in the Data Processing Agreement.
39.2
Nothing in these Terms limits either party's obligation to comply with applicable data protection law.
Section 40 — Suspension
We can suspend access where there's a legal, security, safeguarding, abuse or non-payment problem. Where it's reasonable we'll limit the suspension to the affected part and give you a chance to put it right first.
40.1
VectorPitch may suspend access to the Service, an Account, an organisation, Customer Content or sharing features where VectorPitch reasonably believes that:
- (a) the Customer or an Authorised User has breached these Terms;
- (b) payment is overdue;
- (c) use creates a security, legal, operational, privacy, safeguarding or rights risk;
- (d) Customer Content may be unlawful, infringing or unauthorised;
- (e) suspension is required by law; or
- (f) suspension is needed to protect the Service, other customers or third parties.
40.2
Where reasonable and lawful, VectorPitch will limit suspension to the affected Account, feature, organisation, content or user.
40.3
Where reasonable, VectorPitch will notify the Customer and give an opportunity to resolve the issue.
40.4
VectorPitch will restore access when the issue is resolved, unless termination is justified.
Section 41 — Termination
Either side can end the agreement if the other seriously breaches it and doesn't fix it — 14 days for non-payment, 30 days otherwise. We can terminate immediately where the breach can't be fixed, or where there's a serious safeguarding, legal or security risk.
41.1
Either party may terminate these Terms if the other party materially breaches these Terms and fails to remedy the breach within:
- (a) 14 days after notice for non-payment; or
- (b) 30 days after notice for any other remediable material breach.
41.2
VectorPitch may terminate immediately where continued access would create a serious legal, security, safeguarding, operational or rights risk, or where the breach is incapable of remedy.
41.3
Any purported termination not in accordance with this clause is without effect.
41.4
On termination, the Customer must stop using the Service and pay any outstanding fees.
41.5
The following clauses survive termination: clauses 4, 9, 13, 15, 16, 17, 18, 19, 25, 26, 27, 28, 29, 30, 32, 33, 34, 36, 37, 38, 39, 41, 42, 43, 45, 47, 48, 49, 50, 51, 52, 53 and any other clause that by its nature should survive termination.
Section 42 — Dispute Resolution
Before going to court, both sides try to resolve the dispute in good faith for 30 days. That doesn't stop either of us seeking urgent relief or protecting intellectual property in the meantime.
42.1
Before either party starts court proceedings, the parties must first try to resolve the dispute through good-faith negotiations for 30 days after one party gives written notice of the dispute to the other in accordance with clause 47.
42.2
Clause 42.1 does not prevent either party from seeking urgent injunctive, equitable or interim relief, taking action to protect intellectual property or confidential information, recovering undisputed unpaid fees, or taking action where delay would materially prejudice that party.
Section 43 — Consumer Rights
VectorPitch is mainly for organisations, but if you're using it as a consumer your statutory rights apply in full and override anything here that conflicts with them.
43.1
The Service is intended primarily for business and professional use.
43.2
If a user purchases or uses the Service as a consumer, nothing in these Terms limits any mandatory consumer rights that cannot be excluded under applicable law.
43.3
Where required by consumer law, certain provisions of these Terms may apply differently to consumers. This may include rights relating to cancellation, cooling-off periods, refunds, remedies for faulty digital content, unfair contract terms or local consumer guarantees.
Section 44 — Changes to these Terms
Updated terms don't affect your current paid subscription until it renews, unless the change is required by law or needed for security. If a change materially worsens your position you can cancel before it takes effect. Continuing to use the service after new terms take effect means you accept them.
44.1
VectorPitch may update these Terms from time to time.
44.2
Where changes are material, VectorPitch will take reasonable steps to notify Customers, for example through the Service, by email or through a notice on the website.
44.3
Material changes will not apply to an active paid subscription until the next renewal period, unless the change is required by law, relates to new features, is beneficial to the Customer, or is reasonably necessary for security, compliance or operation of the Service.
44.4
Where a material change affects the processing of Customer Personal Data in a manner that requires a new lawful basis, explicit consent, updated contractual terms or other affirmative agreement under applicable data protection law, VectorPitch will seek the required agreement or provide the required notice before the change takes effect for existing Customers.
44.5
If a material change materially disadvantages the Customer, the Customer may cancel before the change takes effect.
44.6
Continued use of the Service after updated Terms take effect means the Customer accepts the updated Terms, except where applicable law requires a different form of acceptance.
Section 45 — Assignment
You can't transfer this agreement without our consent, except to a group company or a buyer of your business. We can transfer it as part of a merger, sale or reorganisation.
45.1
The Customer may not assign, novate or transfer these Terms without VectorPitch's prior written consent, except that the Customer may assign these Terms to an affiliate or group company as part of an internal reorganisation if:
- (a) the assignee is able to perform the Customer's obligations;
- (b) the Customer gives VectorPitch at least 10 business days' prior written notice; and
- (c) VectorPitch does not reasonably object within 10 business days after receiving that notice.
45.2
VectorPitch may reasonably object under clause 45.1 where the proposed assignee creates a legal, sanctions, export control, compliance, security, competitive, payment or operational concern.
45.3
VectorPitch may assign, novate or transfer these Terms as part of a merger, acquisition, reorganisation, sale of assets, financing, corporate restructuring or transfer of the Service.
45.4
Any purported assignment, novation or transfer in breach of this clause is void and of no effect.
Section 46 — Force Majeure
We're not responsible for delays caused by events outside our reasonable control.
46.1
VectorPitch will not be responsible for delay or failure to perform where caused by events outside its reasonable control, including internet failures, cloud provider outages, power failures, strikes, labour disputes, war, terrorism, civil unrest, government action, natural disasters, pandemics, cyberattacks or failures of third-party services.
Section 47 — Notices
We'll reach you by email or in-product. Notices to us go to support@vectorpitch.com, and security matters to security@vectorpitch.com.
47.1
VectorPitch may send notices to the Customer by email to the email address associated with the Account, through the Service, or by posting notices on the website.
47.2
Notices to VectorPitch must be sent by email to support@vectorpitch.com, unless these Terms specify another address. A notice relating to a dispute under clause 42 must include the subject line "Legal Notice".
47.3
Security notices may be sent to security@vectorpitch.com.
47.4
A notice sent by email is deemed received on the next business day after transmission, provided that the sender has not received an automated delivery failure notice.
47.5
The Customer is responsible for keeping its Account email address current.
Section 48 — Entire Agreement
These terms, the incorporated documents and your plan are the whole agreement, replacing earlier discussions and proposals.
48.1
These Terms, together with the documents incorporated by reference and any applicable Subscription Plan, form the entire agreement between the Customer and VectorPitch regarding the Service.
48.2
These Terms replace any prior discussions, proposals, representations or understandings relating to the Service, except for any separate written agreement signed by VectorPitch and the Customer.
Section 49 — Severability
If a clause turns out to be unenforceable, the rest still stands and that clause is read down to its nearest lawful meaning.
49.1
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect.
49.2
The invalid, unlawful or unenforceable provision will be interpreted or replaced to achieve its intended commercial effect as far as legally possible.
Section 50 — No Waiver
Not enforcing a right straight away doesn't mean giving it up. Waivers have to be in writing.
50.1
A failure or delay by either party to enforce a right under these Terms does not waive that right.
50.2
A waiver must be in writing to be effective.
Section 51 — Third-Party Rights
Only you and VectorPitch can enforce these terms.
51.1
Except as expressly stated in these Terms, no person other than the Customer and VectorPitch has rights to enforce these Terms.
Section 52 — Governing Law and Jurisdiction
Irish law applies and disputes go to the Irish courts. If you're a consumer, your local law may still let you bring proceedings at home.
52.1
These Terms are governed by the laws of Ireland.
52.2
Each party irrevocably submits to the exclusive jurisdiction of the courts of Ireland and waives any objection to proceedings in those courts on the grounds of venue or on the grounds that proceedings have been brought in an inconvenient forum.
52.3
This clause does not limit any mandatory right a consumer may have to bring proceedings in another jurisdiction.
